Terms & Conditions

GalaxyGo (United States) is operated by Saint March, Inc., a California corporation ("Saint March", "we", "us"). These Terms apply to use of the Platform in the United States. Customers in Honduras are covered by the Términos y Condiciones of Galaxy Go, S. de R.L.

By creating an account, downloading the app, placing an order, or otherwise using the GalaxyGo mobile apps and websites (the "Platform"), you ("you", "User") agree to these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Platform. You represent that the information you provide is accurate.

2. Nature of the Platform — Marketplace & Logistics

• Merchants are independent. Food, groceries, pharmacy items and other goods are prepared, packaged and sold solely by independent third-party merchants ("Merchants"). Saint March does not make, sell or warrant those goods and is not responsible for food safety, quality, allergens, missing items or product defects.
• Couriers are independent contractors. Delivery is performed by independent contractors ("Couriers"), not employees or agents of Saint March.
• We provide the software, order routing and payment facilitation; we are not a party to the sale between you and a Merchant.

3. Accounts and Security

You are responsible for your account credentials and all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts for violations of these Terms, fraud or risk.

4. Orders, Pricing, Currency & Taxes

• Prices and fees (delivery fee, service fee, small-order fee) are shown at checkout and may change.
• All amounts for U.S. orders are in U.S. Dollars ($).
• Where required, applicable sales/use tax is calculated and collected at checkout. To the extent GalaxyGo acts as a marketplace facilitator under applicable state law, we collect and remit such tax on facilitated sales; otherwise the Merchant is responsible.

5. Payments

• Card payments are processed by our payment processor, Stripe, Inc. We do not store your full card number; card data is handled by the processor under its own terms and PCI-DSS standards.
• Platform data, user locations and transaction records are hosted on secure infrastructure in the United States.
• You authorize us (and our processor) to charge your selected payment method for orders, subscriptions, fees and top-ups you initiate.

6. GalaxyGo Pass (Subscription) & Gift Subscriptions

• Auto-renewal. Activating GalaxyGo Pass for your own account authorizes automatic recurring charges to your payment method at the then-current price until you cancel. Cancel anytime in Settings to stop future cycles; cancellation takes effect at the end of the current period. Fees already charged are non-refundable except where required by law, and no proration is given for partial periods.
• Gift subscriptions are a single prepaid, fixed-duration purchase; they do not auto-renew on the recipient's account and, once purchased, are non-refundable and non-transferable.
• Pass pricing and benefits are shown in-app and may differ by country.

7. GalaxyGo Wallet & Sending Funds

• The GalaxyGo Wallet holds stored value for use only within the Platform. Wallet balances are not a bank deposit, earn no interest, and cannot be withdrawn to an external bank account or converted to cash.
• Adding funds. You may add funds using an approved method; any top-up fee is shown before you confirm and is paid by you.
• Sending funds / gifting. You may send Wallet funds to another User's Wallet. Transfers between Users are final, irrevocable and non-refundable. GalaxyGo is not an escrow agent and does not mediate disputes between Users over transferred funds.
• Expiration. Funds you load or receive as a gift do not expire and are not subject to dormancy or inactivity fees. Promotional credits (e.g., referral or coupon credits granted at no charge) are not loaded funds and may expire on the date stated when issued.
• We may impose limits, holds or verification on Wallet activity to prevent fraud or comply with law.

8. Split Order

• The initiating User pays 100% of the order total up front; the order is sent to the Merchant upon that payment.
• The initiator may then request friends to reimburse their share. If a friend declines or the request expires, the initiator remains solely responsible for the full processed order.
• If the Merchant cancels before preparation begins, the initiator is refunded 100% and pending split requests are cancelled.

9. Cancellations & Refunds

• Because food and many goods are perishable or prepared to order, you may not cancel or obtain a refund once the Merchant has accepted the order and begun preparation.
• Refunds, credits or partial adjustments for missing/incorrect items or delivery failures are handled through our in-app support process and may be issued as a Wallet credit or to the original payment method at our reasonable discretion.

10. Deliveries

You are responsible for providing an accurate delivery address and access instructions. Delivery times are estimates. Couriers may use photo or other proof of delivery.

10A. Age-Restricted Items

Where GalaxyGo makes age-restricted items available, you must be of legal age to purchase them and the Courier will verify a valid government ID at handoff and may refuse delivery if age cannot be verified, with no refund of the item. This feature is disabled unless and until GalaxyGo enables it in a given market. Alcohol is not offered at launch.

11. Referrals, Promotions & Coupons

Referral rewards, promotional credits and coupons are subject to their specific terms, are non-transferable and have no cash value, apply only in the country/currency for which they are issued, and may be modified or revoked for abuse.

12. User Conduct

You agree not to misuse the Platform, including: fraud or chargeback abuse; harassing Couriers, Merchants or staff; violating law; circumventing fees; scraping; or interfering with the Platform's operation.

13. Intellectual Property

The Platform, software and "GalaxyGo" brand are owned by or licensed to Saint March. You receive a limited, revocable, non-exclusive license to use the app for its intended purpose.

14. Third-Party Services

The Platform integrates third-party services (e.g., Stripe for payments, HERE for mapping, Firebase for push notifications, and Meta/WhatsApp for verification codes). Their use is governed by their own terms and privacy policies.

15. Disclaimers & Limitation of Liability

The Platform is provided "as is" and "as available" without warranties of any kind to the fullest extent permitted by law. To the maximum extent permitted by law, Saint March is not liable for indirect, incidental, special or consequential damages, and our total liability for any claim is limited to the greater of US$100 or the amount you paid to us for the transaction giving rise to the claim. Nothing limits liability that cannot be limited under applicable law.

16. Indemnification

You agree to indemnify and hold harmless Saint March and its affiliates from claims arising out of your misuse of the Platform or violation of these Terms or applicable law.

17. Dispute Resolution — Arbitration & Class-Action Waiver

Any dispute will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, seated in the State of California. You and Saint March waive the right to a jury trial and to participate in class actions or class-wide arbitration. Nothing here prevents either party from bringing qualifying claims in small-claims court or seeking injunctive relief in court.

30-day opt-out: You may opt out of this arbitration agreement by emailing legal@galaxygo.app within 30 days of first accepting these Terms, stating your name and account email; opting out does not affect the rest of these Terms.

18. Governing Law

These Terms are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-laws rules.

19. Changes to These Terms

We may update these Terms; material changes will be notified in-app or by email and are effective upon posting (or as stated). Continued use constitutes acceptance.

20. Termination & Account Deletion

You may stop using the Platform and request account deletion at any time. On deletion we anonymize your personal data and disable login; order, payment and tax records are retained in anonymized form as required for legal, accounting and tax obligations.
